If you do not agree with these Terms, you should not use this website or submit information through our forms.
These Terms may be supplemented by a written proposal, invoice, service agreement, project scope, or signed contract between Nyxal Designs and a client.
2. Our Services
Nyxal Designs provides website design, website redesign, brand identity support, landing page design, e-commerce web design, CRM integration, SEO services, and related digital services.
Services may include:
- Website strategy, structure, copy direction, design, and launch support.
- Landing pages for offers, campaigns, programs, webinars, and lead generation.
- E-commerce website direction and product page structure.
- Brand identity support, visual direction, and website-ready assets.
- CRM-connected forms, booking pages, lead capture paths, and automation-ready workflows.
- SEO audits, metadata, page titles, heading structure, local SEO basics, and content direction.
3. Project Inquiries & Consultations
Submitting a project inquiry, contact form, or consultation request does not create a formal client relationship unless Nyxal Designs accepts the project and both parties agree to the project terms.
We may review your inquiry and determine whether the project is a good fit based on scope, availability, timeline, budget, and service requirements.
We may decline or delay a project if:
- The project does not match our services or capabilities.
- The timeline is not realistic based on the requested scope.
- Required information, assets, or approvals are not provided.
- The project conflicts with our standards, availability, or business policies.
4. Proposals, Scope & Agreements
Project pricing, deliverables, timelines, revisions, payment schedules, and responsibilities will typically be outlined in a proposal, invoice, written agreement, or project scope.
Any services outside the approved project scope may require a separate quote, change order, additional fee, or revised timeline.
Project scope may define:
- Pages, sections, templates, or assets to be designed.
- Number of revision rounds included.
- Client responsibilities and asset deadlines.
- Launch support, CRM connection, SEO support, or platform setup included.
- Payment milestones, due dates, and project completion terms.
5. Payments, Deposits & Invoices
Payment terms will be stated in the applicable invoice, proposal, service agreement, or project scope. Projects may require a deposit or upfront payment before work begins.
Unless otherwise stated in writing:
- Deposits and initial payments may be required to reserve project time.
- Work may pause if payments are late or incomplete.
- Final files, launch support, or completed project delivery may be withheld until outstanding balances are paid.
- Additional services outside the original scope may be billed separately.
Payment processing may be handled through third-party payment providers. Nyxal Designs is not responsible for processing delays, bank issues, or third-party payment platform errors.
6. Client Responsibilities
Clients are responsible for providing accurate information, timely feedback, required approvals, brand materials, website copy, images, login access, and any other assets needed to complete the project.
Client responsibilities may include:
- Providing business details, contact information, and service descriptions.
- Providing logos, images, videos, brand assets, product information, and content.
- Reviewing drafts and submitting feedback within the agreed timeframe.
- Ensuring submitted content does not violate copyright, trademark, privacy, or other rights.
- Maintaining access to domain, hosting, CRM, email, payment, and third-party accounts.
Delays in providing content, approvals, access, or feedback may affect the project timeline.
7. Revisions, Timelines & Delays
Revision rounds and timelines will be defined in the applicable project scope. Revisions are intended to refine approved direction, not create a completely new project direction unless otherwise agreed.
Additional charges may apply for:
- Major changes after approval of design direction.
- New pages, sections, features, integrations, or functionality not included in the original scope.
- Extra revision rounds beyond the included amount.
- Rush work or urgent timeline changes.
- Client delays that require project restart, rework, or rescheduling.
8. Content, Assets & Intellectual Property
Clients are responsible for ensuring they have the legal right to use any content, images, videos, logos, trademarks, documents, testimonials, product descriptions, or other materials provided to Nyxal Designs.
Upon full payment, final approved deliverables created specifically for the client may be transferred to the client as outlined in the project agreement. Nyxal Designs may retain rights to internal processes, design methods, templates, working files, reusable systems, code structures, and concepts not specifically transferred in writing.
Nyxal Designs may use:
- Licensed tools, fonts, icons, plugins, stock images, or platform components.
- Reusable design systems, frameworks, and internal methods.
- Third-party services required for website building, hosting, forms, CRM, analytics, or integrations.
9. Third-Party Tools, Platforms & Integrations
Websites and digital systems may rely on third-party platforms such as hosting providers, CRM tools, booking calendars, payment processors, email services, analytics tools, form providers, e-commerce platforms, plugins, apps, or content delivery systems.
Nyxal Designs is not responsible for downtime, policy changes, pricing changes, outages, restrictions, data loss, plugin conflicts, or technical issues caused by third-party platforms.
Clients are responsible for:
- Maintaining third-party subscriptions and platform accounts.
- Providing correct access where needed.
- Reviewing and accepting third-party terms, billing, and privacy policies.
- Keeping login credentials secure.
10. Portfolio, Credit & Case Study Use
Unless otherwise agreed in writing, Nyxal Designs may reference completed work in its portfolio, website, social media, proposals, or case studies.
This may include the client name, project screenshots, website link, general project description, and public-facing brand visuals. Confidential information will not be intentionally disclosed without permission.
11. No Guaranteed Results
Nyxal Designs works to create high-quality websites, brand visuals, SEO-conscious structure, CRM-ready paths, and conversion-focused digital experiences. However, we do not guarantee specific business results, sales, leads, traffic, revenue, rankings, or customer outcomes.
Results depend on many factors outside our control, including offer quality, pricing, audience, advertising, market demand, search engine behavior, client follow-up, competition, platform performance, and business operations.
12. Limitation of Liability
To the fullest extent allowed by applicable law, Nyxal Designs is not liable for indirect, incidental, consequential, special, or punitive damages arising from website use, project delays, third-party tools, platform issues, lost profits, lost data, or business interruption.
Nyxal Designs’ total liability for any claim related to a project or service will not exceed the amount paid to Nyxal Designs for the specific service giving rise to the claim, unless otherwise required by law or stated in a written agreement.
